Step-by-Step LLP Object Clause Modification Process

Partner Approval
Convene a meeting of the designated partners of the LLP to approve the proposed changes in business objects and pass the required resolution.
Documentation
Prepare all necessary documents, including the supplementary LLP Agreement, meeting minutes, and partner resolution reflecting the revised objects.
Stamping & Notarization
Ensure the supplementary LLP Agreement is duly stamped and notarized in accordance with applicable stamp laws.
Preparation of Form LLP-3
Draft Form LLP-3 along with all supporting documents detailing the changes in the LLP’s objects.
Filing with ROC
File Form LLP-3 with the Registrar of Companies within 30 days from the date of execution of the supplementary agreement, along with the prescribed government fees.
Government Approval
Receive confirmation and approval from the concerned authority upon successful verification.
An LLP may need to modify its main business activities when partners plan to expand operations or introduce new activities that were not included in the original LLP Agreement. Such changes can be made with the mutual consent of all partners and must be properly recorded in the LLP Agreement.
What Types of Business Activities Can an LLP Undertake?
An LLP may engage in any lawful business activity permitted under applicable laws. However, LLPs are not allowed to carry out Non-Banking Financial Company (NBFC) activities. Additionally, if the LLP’s name indicates a specific activity, its business operations must align with the activity reflected in the name, as per naming guidelines.
How Can the Objects of an LLP Be Changed?
The LLP Agreement includes provisions related to business activities and the procedure for modifying them. Based on the partners’ approval, a supplementary LLP Agreement is executed and the required e-form is filed with the concerned Registrar of Companies to formally update the LLP’s objects.
