Step-by-Step LLP Name Change Process

Documentation & Partner Approval
Hold a meeting of the LLP’s designated partners to approve the proposed new name and verify its availability on the MCA portal.
Name Reservation (RUN-LLP)
Submit the RUN-LLP application (earlier LLP-1) to the Registrar of Companies along with the prescribed government fee, proposing up to six name options.
Name Approval
Obtain the name approval confirmation from the Registrar of Companies..
Filing of Form LLP-5
File Form LLP-5 with the Registrar of Companies within 90 days from the date of name approval.
Filing of Form LLP-3
Submit Form LLP-3 along with the amended LLP Agreement reflecting the new name.
Final Approval
Receive the final approval certificate from the Registrar of Companies confirming the LLP name change.
An LLP may choose to change its name due to strategic business needs, rebranding decisions, personal preferences of partners, or in compliance with directions issued by the Central Government.
LLP Name Availability Check
The proposed LLP name must be finalized and checked for availability on the MCA portal. If the name is available, an application for Reservation of Unique Name (RUN-LLP) can be submitted along with a certified copy of the partners’ consent approving the new name.
Procedure to Change the Name of an LLP
To change the LLP’s name, the approved name must first be obtained from the Registrar. After receiving the name approval letter, Form LLP-5 must be filed to inform the Registrar of Companies about the name change. This filing should include a certified copy of the partners’ consent, along with copies of the existing LLP Agreement and the supplementary agreement reflecting the new name.
